Welcome to Reach Market Inc. (“Reach”, “we”, “our”, or “us”). Reach provides embedded marketing solutions that enable vertical SaaS platforms to offer small businesses advanced marketing tools, including AI-driven ad campaigns, ROAS tracking, and more. These Terms apply to all users of the Services, including visitors to our website and customers utilizing our marketing platform.

2. Eligibility

By using the Services, you represent and warrant that:

  • You are at least 18 years old and capable of forming a legally binding contract.
  • You have not been previously suspended or removed from using the Services.
  • You have full authority to accept these Terms on behalf of any company or organization you represent.

3. Account Registration and Responsibilities

  • Account Setup: You must create an account to access certain features of the Services. You agree to provide accurate, complete, and updated information during registration.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities conducted through your account.
  • Account Suspension or Termination: Reach reserves the right to suspend or terminate accounts that violate these Terms or engage in unlawful behavior.

4. Use of Services

  • Acceptable Use: You agree not to misuse the Services or assist others in doing so. Prohibited activities include:
    • Violating applicable laws or regulations.
    • Uploading harmful or unauthorized content.
    • Attempting to disrupt the Services through unauthorized access or automated means.
  • Service Availability: Reach aims to ensure the Services are available at all times but does not guarantee uninterrupted or error-free operation.

5. Fees and Payment

  • Subscription Fees: Fees for the Services are outlined in your order details. Payment is due in accordance with the specified schedule.
  • Payment Authorization: By providing a payment method, you authorize us to charge all applicable fees to your account.
  • Refund Policy: All fees are non-refundable unless explicitly stated otherwise.
  • Late Payments: Failure to pay may result in suspension or termination of your access to the Services.

6. Intellectual Property Rights

  • Ownership of Services and Content: All materials provided as part of the Services, including but not limited to text, graphics, logos, software, and functionality, are the exclusive property of Reach or its licensors. These materials are protected under applicable copyright, trademark, and other intellectual property laws.
  • License to Use the Services: Reach grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms. You may not resell, sublicense, or exploit the Services for commercial purposes without our prior written consent.
  • Restrictions:
    • You must not copy, modify, distribute, or create derivative works of any content or software associated with the Services.
    • You are prohibited from decompiling, reverse engineering, or attempting to extract the source code of any software included in the Services, except as permitted by law.
  • User-Generated Content:
    • Any content you submit or upload to the Services remains your property. By submitting content, you grant Reach a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your content solely for the purposes of providing and improving the Services.
    • You represent and warrant that you own or have the necessary rights to grant Reach this license.
  • Feedback: Any feedback, suggestions, or ideas you provide about the Services may be used by Reach without obligation or compensation to you. By providing feedback, you assign all rights to Reach to use and incorporate it into the Services or other products.

7. Privacy and Data Use

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the Services, you agree to the practices described in our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Reach is not liable for any indirect, incidental, or consequential damages arising out of or related to your use of the Services.
  • Reach’s total liability for any claims related to the Services will not exceed the fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold Reach harmless from and against any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

  • By Reach: We may suspend or terminate your access to the Services for violation of these Terms or any applicable laws.
  • By You: You may terminate your account at any time by contacting us at notices@embedreach.com.
  • Effect of Termination: Upon termination, your right to access the Services will cease immediately, but provisions relating to intellectual property, limitation of liability, and indemnification will survive.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Any disputes will be resolved exclusively in the state or federal courts located in Delaware.

12. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with the “Last Updated” date revised. Continued use of the Services indicates your acceptance of the updated Terms.
